2.2 Service Delivery: We will use commercially reasonable efforts to deliver services on time and as specified in the agreement.
2.3 Service Limitations: Services are subject to availability, and we reserve the right to modify or discontinue any service without prior notice.

Fees and Payment
3.1 Fees: The Client agrees to pay the fees outlined in the agreement or SOW. Fees are subject to applicable taxes.
3.2 Payment Terms: Payments are due within [30] days of the invoice date unless otherwise specified in the agreement.

Confidentiality and Data Security
4.1 Confidential Information: Both parties agree to keep all non-public information exchanged during the relationship confidential.

Client Responsibilities
5.1 Access and Cooperation: The Client must provide Jasper IT Inc. with access to necessary resources, systems, and personnel to deliver the services effectively.
5.2 Compliance: The Client is responsible for ensuring compliance with all applicable laws and regulations regarding their use of our services.

Intellectual Property
6.1 Ownership: Jasper IT Inc. retains ownership of all pre-existing intellectual property, including tools, templates, and methodologies.
6.2 License: Upon full payment, the Client receives a non-exclusive, non-transferable license to use deliverables for their intended purpose.

Limitation of Liability
7.1 Exclusion of Damages: Jasper IT Inc. is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
7.2 Maximum Liability: Our total liability is limited to the amount paid by the Client for the specific service that gave rise to the claim.

Termination
8.1 Termination by Either Party: Either party may terminate the agreement with [30] days’ written notice.
8.2 Termination for Cause: Either party may terminate immediately for a material breach not remedied within [10] days of notice.
